Here, we are always welcome to help you to set up a Private Limited Company which only cost you RM1, 500 (Full Package, No Hidden Cost and Very Limited Period). The standard incorporation package fee in setting up a private limited company in Malaysia is ranging between RM2, 200 to RM2, 800 whereby the fee does not include the first year secretarial fee. Our incorporation package fee is among the lowest in Malaysia. Therefore you have acquired a cost savings worth between RM700 to RM1, 300 if you decide to choose our service.

Our Holistic Incorporation Package of RM1,500 includes:-

  1. Authorised Share Capital up to RM400,000.
  2. Incorporation Fee payable to SSM- RM1,000.
  3. The Stamping Fee for Memorandum and Articles of Association (M&A)- RM200.
  4. Supply of Corporate Information to Selected Agencies by SSM- RM10.
  5. Common Seal, Statutory Books & Shares Certificates- RM100.
  6. Free of charge for the first Request of Name Search and subsequent request for Name Search an additional Fee of RM50 each.
  7. Name of Promoters/Directors up to 2 persons and each additional person an additional fee of RM50 each person.
  8. Runner Fee to pick up documents from SSM- RM20.
  9. Free of charge for the first five Sets of Certified True Copy (CTC) of Documents (M&A, Forms 9, 24, 44 & 49).
  10. Free of charge (FOC) for Unlimited Request of BOD's Resolutions in case you need to open a Corporate Bank Account.
  11. There is a Conducive Conference Room for your company to convene the AGM, etc at a very minimum fee.
  12. Our panels of Auditors and Tax Agents.
  13. Our Post Incorporation Fees and Charges are very reasonable and competitive.

Tips to choose a Secretarial Firm:

  1. To obtain a written quotation of the Incorporation Package and its Fee from a Secretarial Firm. To briefly analyze and understand what are the items in the package offered. You are also supposed to find out whether the incorporation package offered has already been included the first year secretarial fee or otherwise. Then you will know exactly their fees of the incorporation packages offered with and without the first year secretarial fee.
  2. The most important factor that you should take into consideration before you decide to engage with a Secretarial Firm is their Post Incorporation Fees and Charges. The Post Incorporation Fees and Charges refer to fees and charges which you are required to bear for any request of their services rendered after your company has already been incorporated. For instances;
    1. Request for a Board of Directors' Resolution to open a Corporate Bank Account (Ours is free of charge for each time you request- FOC unlimited request).
    2. Request for Certified True Copy (CTC) of Forms or Documents for each page (Ours is RM2 each page).
    3. Request for Increase in Paid Up Share Capital (Ours is RM100 each request).
    4. Request for Change of Object Clauses (Ours is RM100 each request).

3 Stages In Incorporation of Company

There are 3 stages in Incorporation Process of Company. They are Name Search, Incorporation of Company and Submission of the First Forms.

Stage 1- Name Search for the company  (availability of the proposed name):

  1. Be ready with the proposed name for your new company.
  2. To decide the business activities for the new company.
  3. To decide how much the authorized share capital for your new company.
  4. To decide how many shareholders and the first directors for your new company.
  5. Give us a call or directly come to our office for free consultation regarding the proposal above.
  6. To pay us a minimum deposit of RM500 in order to proceed with the name search (Form 13A).
  7. It takes roughly two to three working hours to obtain the result of the name search.
  8. If the proposed name for the new company is approved then we may proceed to the Stage 2.
  9. Otherwise we have to perform another request for a name search.

 Stage 2- Incorporation Process of Company:

  1. To pay the remaining balance of the Incorporation Package that you choose.
  2. To sign the Declaration Form by the Promoters and the First Directors (Form 48A) before the Commissioner For Oaths.
  3. Then we will proceed with the Incorporation Process of the company (Forms 13A, 48A, 6 and M&A)
  4. It takes roughly 1 working day to obtain the result of the Incorporation Process of the company.
  5. If there is any query regarding the Incorporation Process then it will delay another one to two days.

 Stage 3- Submission of the First Forms:

  1. Once the Incorporation Process of the company is approved by SSM then the next day we will proceed with the Submission of The First Forms (Forms 24, 44 & 49).
  2. We will prepare a Directors Resolution to open your company's bank account.
  3. To provide 5 sets free of charge of certified true copies of relevant documents (M&A, Forms 9, 24, 44 & 49).
  4. To prepare the Minutes for the First of the Board of Directors' Meeting.
  5. To prepare Shares' Certificates for all the Shareholders.
  6. To properly keep your Company's Common Seal, Statutory Books and the blank Shares' Certificates.

 

Yearly Maintenance Fee

There are a lot of advantages and benefits to have a COMPANY SDN. BHD. as compared to a type of Sole Proprietorships or Partnerships. However, there are some yearly maintenance cost that a company has to incur. The yearly maintenance cost varies from one company to another company and it mainly depends on business turnover or sales, volume of business transactions and total assets of that particular company for a particular financial year.

The followings are the estimated yearly maintenance fees for a company which has a turnover or sales ranging between RM100,000 to RM500,000:

  1. Yearly Secretarial Fee of RM720.
  2. Documentation and lodgment Fee of RM350 to prepare Minutes of AGM and lodgment of Annual Returns and Audited Accounts to SSM (inclusive of SSM Fee of RM150).
  3. Annual Fee for Accounting Service of RM1,200 to RM3,000 to prepare management accounts and financial statements to be audited. The fee is only applicable to those companies which do not have accounting personnel to manage and prepare their financial statements to be audited.
  4. Annual Fee for Audit Service of RM1,000 to RM3,000.
  5. Annual Service Fee for Computation of Company's Income Tax to Tax Agent of RM400 to RM1,200.

The estimated yearly maintenance fees as mentioned above are our own firm's estimated maintenance fees which are only applicable to those companies that decide to choose our firm's services. Of course the fees are still negotiable.
